Council Clubs provides consulting and preparation services for business owners considering private investment offerings. Our work may include readiness assessments, strategic planning, investor-facing positioning, and presentation preparation. The Services are educational and consultative in nature and do not constitute legal, tax, accounting, investment, broker-dealer, or securities advice. You should consult qualified professionals regarding matters requiring specialized advice.

You are responsible for providing accurate and current information when creating an account or using the client portal. You are responsible for maintaining the confidentiality of your login credentials and for activity occurring under your account. Notify us promptly if you believe your account has been accessed without authorization.

By voluntarily providing your mobile number and affirmatively opting in, you agree to receive transactional text messages from Council Clubs, including one-time passcodes (OTP) used for identity verification, account security, and account-related notifications.

Message frequency varies. Message and data rates may apply. You may reply STOP to any message to opt out of SMS messages or reply HELP for assistance. Consent to receive text messages is not a condition of purchasing any goods or services. Opting out may prevent use of certain security or account-verification features.

You may use the Services only for lawful purposes and in accordance with these Terms. You may not interfere with the security or operation of the Services, attempt to gain unauthorized access to accounts or systems, submit false information, or use the Services in a manner that infringes the rights of another person or entity.

The Services, website, portal, content, methods, materials, and branding are owned by or licensed to Council Clubs and are protected by applicable intellectual-property laws. Except as expressly permitted in writing, you may not reproduce, distribute, modify, reverse engineer, or create derivative works from our materials.

The Services are provided on an "as is" and "as available" basis to the extent permitted by law. Council Clubs does not guarantee that any client will obtain financing, attract investors, close a capital raise, receive regulatory approval, or achieve a particular business result. Any decision to pursue an offering, financing, or investment remains solely yours.

To the fullest extent permitted by law, Council Clubs will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Services. Nothing in these Terms limits liability that cannot lawfully be limited.

We may modify, suspend, or discontinue any part of the Services or these Terms at any time. Updated Terms will be posted on this page with a revised effective date. We may suspend or terminate access to the Services if we reasonably believe these Terms have been violated or if necessary to protect the Services, users, or Council Clubs.

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable law requires otherwise.
